Services

We provide strategy, design, and development services as described on our website and in proposals. Specific deliverables, timelines, and fees are defined in each engagement.

Proposals, Fees, and Payment

• Proposals or statements of work outline scope, milestones, and fees.
• Invoices are payable according to the schedule specified in the proposal.
• Late payments may incur suspension of work and/or late fees as permitted by law.

Client Responsibilities

• Provide timely access to content, stakeholders, and approvals.
• Ensure provided materials do not infringe on third-party rights.
• Designate a point of contact for decisions and feedback.

Intellectual Property

Unless otherwise agreed, WebFused retains ownership of pre-existing IP, tools, and methodologies. Upon full payment, clients receive a license or ownership to project deliverables as specified in the proposal. Third-party assets remain the property of their respective owners.

Approvals and Changes

Client approvals at key milestones authorize progress. Requests outside agreed scope may require a change order with revised timelines and fees.

Confidentiality

Both parties agree to keep confidential information received from the other party confidential and to use it solely for the purposes of the engagement.

Warranties and Disclaimers

We provide services with reasonable skill and care. Except as expressly stated, our website and services are provided "as is" and "as available" without warranties of any kind.

Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim is limited to the fees paid for the service giving rise to the claim.

Indemnification

You agree to indemnify and hold WebFused harmless from any claims arising out of your misuse of the website or breach of these Terms.

Termination

Either party may terminate an engagement as specified in the proposal or statement of work. Provisions intended to survive termination will remain in effect.

Governing Law

These Terms are governed by the laws of the United States and, where applicable, the laws of the U.S. state in which WebFused is headquartered, without regard to conflict of law principles. You agree that the exclusive venue and jurisdiction for any dispute shall be the state or federal courts located in that state.

Changes to These Terms

We may update these Terms from time to time. We will post the revised version with an updated date. Your continued use of the site constitutes acceptance of changes.
